Vocal Licensing Full Terms
Last updated: October 2026 (v1.0)
By purchasing, downloading, or using any vocal from this site, you agree to these terms. The license tier you purchased is named on your receipt. Section 1 (Definitions) and Section 6 (General Conditions) apply to every tier.
1. Definitions
"I", "me", "my" means Brandi Overstreet, trading as Sodie.
"You" means the person or company that purchased the license, as named on your receipt.
"Topline" means the vocal recording, melody, and lyrics that I supply under a license, including any stems, takes, or harmonies delivered with it.
"Track" means a finished song you create that incorporates the Topline.
"Version" means an alternate mix, edit, extended mix, instrumental, VIP, or remix of a Track that keeps the same Topline melody and lyrics. A recording with new or substantially changed melody or lyrics is a new song, not a Version.
"Commercially Released" means the Track is available to the public through at least one major streaming or download service (for example Spotify, Apple Music, Amazon Music, Beatport, or Bandcamp), whether released by you, a label, or a distributor.
"Raw Vocal Files" means the Topline in any form other than as a mixed part of a finished Track, including isolated or extracted vocals.
"Receipt" means the license document or order confirmation I issue for your purchase. It records your name, the Topline, the date, the license tier, and the version of these terms that applies.
"AI Tools" means any machine learning or artificial intelligence system, including generative music models, voice cloning, voice conversion, voice synthesis, and AI stem separation.
2. Non-Exclusive Toplines
This section applies to Toplines sold as Non-Exclusive or Limited Non-Exclusive.
2.1 Grant. On full payment, I grant you a non-exclusive, worldwide, perpetual license, royalty-free except as stated in Section 2.7, to use the Topline in your own Tracks and their Versions, for commercial or non-commercial purposes. This includes releasing the Tracks, performing them live, and using them in videos or other media that accompany the Track. It is subject to Section 6.
2.2 Non-exclusive. I keep ownership of the Topline and may license it to others, including for similar Tracks. I do not promise that no one else will use it.
2.3 Your Tracks. You own the master recording and composition of each Track, except for the Topline itself, which remains mine. Each Track must add substantial original material (instrumental, production, or arrangement) beyond the Topline. You may use the Topline in more than one Track.
2.4 No publishing split before a success threshold. Until a Success Threshold is reached under Section 2.7, I take no publishing share and no royalties from your Tracks, and you do not need to pay me any splits.
2.5 Registering your Track. You may register your Track with distributors, performing rights organizations, and content identification systems. You may not claim, register, or fingerprint the isolated Topline itself, and you may not use a content identification claim against another licensee who has lawfully used the same Topline.
2.6 Restrictions. You may not resell, sublicense, distribute, or share the Raw Vocal Files in any form, or include the Topline in any sample pack, loop kit, template, or similar product, free or paid.
2.7 Success Threshold.
This subsection is intended to address exceptional commercial success.
(a) Threshold. A "Success Threshold" is reached for a Track when either (i) the Track and all its Versions together reach 1,000,000 streams across all streaming services, as shown in reports from your distributor or the services, or (ii) You have received more than $1,000 (USD) in total sync fees for the Track. Streams and synchronization fees will be aggregated across all qualifying Versions, releases, distributors, and streaming services. The same streams or fees will not be counted more than once.
(b) Notice. Within 14 days after the Success Threshold is reached, You must notify Me in writing and, if I ask, send the reports showing it.
(c) Composition share. Within 30 days after the Success Threshold is reached, You must sign a split sheet giving Me 50% of the composition (writer's and publisher's share) in the Track. This share applies only to income earned on or after the date the Success Threshold was reached, and I'm paid through the usual registrations with our performing and mechanical rights organizations. Your license continues unchanged while you do so. Any credit to Me is governed by Section 6.2. I take no share of master income from the Track at any time, and no buyout fee is due.
(d) Default. If You don't sign within 30 days, the 50% composition share applies automatically from the date the Success Threshold was reached.
(e) Failure to comply. The 50% composition share applies under (d) whether or not You sign. If You don't sign the split sheet or provide the reports I reasonably request, I may give notice under Section 6.6, and if You don't cure within the cure period, I may terminate Your license.
(f) Relationship to other terms. Sections 2.1 and 2.4 (royalty-free, no publishing split) apply to each Track until its Success Threshold is reached, and this Section 2.7 is the only exception. I may agree to different terms in writing.
(g) Negotiated buyout. A buyout of My composition share, or other terms, may be negotiated with Me. Any such arrangement takes effect only if it is agreed in writing and signed by both of us.
3. Exclusive Toplines
This section applies to Toplines sold as Exclusive. A Topline sold as Exclusive is removed from sale while your license is in force.
3.1 Grant. On full payment, I grant you an exclusive, worldwide, perpetual license (subject to 3.7 and Section 6) to use the Topline in one Track and its Versions, and to release and exploit them commercially. I will not sell or license the Topline to anyone else while your exclusive license is in force.
3.2 Master. You own 100% of the master recording of the Track and keep all income from it. I take no share of master income.
3.3 Composition and publishing.
The melody and lyrics of the Topline are co-owned. I hold 50% of the composition, covering both the writer's share and the publisher's share, and you hold the remainder.
My share is fixed. If you add co-writers or producers who claim a share of the Track, their shares come out of your portion, not mine.
You may not assign or license your share in a way that restricts my right to collect my share directly.
3.4 Split sheet and registration.
Within 30 days after the Track is Commercially Released, and before you register the Track, you will send me the final title, all writer details, and a signed split sheet confirming the shares in 3.3.
Each of us registers our own share with our own performing rights organization, using the same title and shares. I register through BMI. You are responsible for registering your share and for listing my share correctly with any mechanical rights organization, distributor, or platform that asks for it.
Where a registration or platform lets you list me only through a publishing entity or administrator, you will list mine as I direct.
3.5 One song, multiple Versions. This license covers one Track and its Versions only. You may not use the Topline in other songs, in mashups that combine it with different compositions, or in new works with changed melody or lyrics without a new license from me.
3.6 Restrictions. You may not resell, sublicense, or share the Raw Vocal Files, or include them in any sample pack, template, or similar product.
3.7 Release window and reversion.
Your exclusive license becomes permanent once the Track is Commercially Released within 2 years of purchase.
If the Track is not Commercially Released by then, the exclusive license ends and all rights in the Topline revert to me, and I may license it to others.
Notice: I will email you at the address used at purchase about 60 days before the deadline. If you reply in writing that a release is scheduled, I will extend the deadline once, by up to 1 year.
Grace period: reversion takes effect 30 days after the deadline. A release within that period counts.
After reversion: you may not release or distribute the Track, you will withdraw any pending releases and registrations that include the Topline, and no refund is due. Releasing after reversion without my written permission is a breach of this license.
You are responsible for keeping your contact email current. Extensions beyond the above are possible only in writing, before the deadline.
This clause applies to Exclusive Toplines purchased on or after October 15, 2026. Earlier purchases are governed by the terms that applied at purchase.
4. Exclusive Buyout
This section applies to Toplines sold as an Exclusive Buyout. A Buyout transfers ownership rather than licensing it.
4.1 Written agreement. An Exclusive Buyout takes effect only on (a) payment in full and (b) a written agreement signed by both of us. I issue the agreement after payment, and I release files once it is signed.
4.2 Assignment. On the effective date, I assign to you my entire right, title, and interest in the master recording of the Topline and in its melody and lyrics, worldwide, for the full term of copyright and all renewals and extensions, to the fullest extent the law allows. I keep no financial interest in the Topline or any Track, including streams, downloads, sales, synchronization, or any other exploitation.
4.3 No release window. Ownership is permanent and unconditional, whether or when the Track is released.
4.4 Writer's share of performance royalties. To the extent BMI's rules do not allow me to assign my writer's share of public performance royalties, I will retain it. I will confirm which in the agreement.
4.5 Moral rights and credit. To the fullest extent the law allows, I waive any moral rights in the Topline, including the right to be identified as author or performer.
4.6 Prior licenses. I confirm that no prior licenses have been granted.
4.7 What you still may not do. Even after an Exclusive Buyout, you may not:
Use my name, or any variation of it, in any public-facing credit, metadata, song title, or marketing material, except as the law requires for the original composition credit without my consent.
Use the Topline to train, clone, or replicate my voice with AI Tools (see Section 6.1).
Resell, sublicense, or redistribute the Raw Vocal Files as standalone assets, such as in sample packs or loop kits.
5. Reserved
[Space for Custom Toplines, Cover Vocals, or Humanise Your AI Vocal terms if you add those later.]
6. General Conditions (All Tiers)
6.1 Use of AI Tools. You may not use any Topline, in whole or part, to:
Train, fine-tune, clone, or replicate my voice using AI Tools.
Create new works that mimic or artificially reproduce my voice, or any voice conversion, revoicing, or voice synthesis based on the Topline.
Extract stems from the Topline using AI Tools for any of those purposes.
Upload the Raw Vocal Files to any service that you know uses uploads to train AI Tools.
Ordinary mixing, editing, and mastering tools, including AI-assisted mastering or EQ, are allowed as long as they do not generate or replicate a voice. I may monitor for misuse and may issue takedown notices and pursue remedies if I find it.
6.2 Credit. You may not use my name in any public-facing credit or marketing without my consent.
Writer registration with BMI and any performer registration for royalties I am entitled to are permitted under every option.
6.3 Ownership and warranty. I confirm the Topline is my original work and that I may grant the rights in your license. I give no other warranty. I do not promise any commercial result, and the Topline is provided as is.
6.4 Limitation of liability. To the fullest extent the law allows, my total liability to you for any claim related to a license is limited to the price you paid for it. I am not liable for indirect or consequential losses, including lost profits.
6.5 Your responsibility for your Track. You are responsible for everything you add to the Track, including samples, instrumentals, and other contributions, and for clearing them. You will defend me against third-party claims arising from content you add or from your breach of these terms.
6.6 Breach and cure.
If you breach these terms, I will notify you in writing and you will have 14 days to cure the breach, where it can be cured.
I may terminate your license without a cure period for AI misuse, redistribution of Raw Vocal Files, or repeated breach.
On termination, you must stop distributing the Track and the Raw Vocal Files, and take reasonable steps to remove them from platforms. I may pursue any other remedy the law allows.
Perpetual licenses are perpetual only while you comply with these terms.
6.7 Transfers. Licenses are personal to you. You may transfer your license only (a) to a label or distributor that releases your Track, or (b) to a successor in a sale of your business or a transfer on death, provided the recipient agrees in writing to these terms and notifies me.
6.8 Refunds. Because Toplines are digital goods delivered immediately, all sales are final once files are delivered, except where the law requires otherwise or I agree in writing. I will refund you if a file is defective and I cannot supply a working replacement.
6.9 Receipts and records. I will issue a Receipt for each purchase. Please keep it. It is the record of what was licensed and under which version of these terms.
6.10 Changes to these terms. The version of these terms in force on the date of your purchase governs your license, as stated on your Receipt. I may update the terms for later sales. I will not change the terms of an existing license without your written agreement. I keep dated copies of every version and will send you one on request.
6.11 Notices. I will send notices to the email address you used at purchase. You will send notices to sodie@sodievox.com. Notices take effect when sent.
6.12 Governing law and disputes. These terms are governed by the laws of the State of Maryland, USA, and the state and federal courts located in Baltimore County, Maryland have jurisdiction. Before starting any proceeding, each of us will give the other written notice of the dispute and try in good faith to resolve it for 30 days.
6.13 Entire agreement and severability. These terms, your Receipt, and any signed assignment or addendum are the entire agreement. If a part is unenforceable, the rest stays in force. If there is a conflict, a signed assignment or addendum prevails over your Receipt, which prevails over these terms.
